MATCHA Writer End User License Agreement

This End User License Agreement is an agreement between you and MATCHA Technologies. The MATCHA software is licensed, not sold. Subject to these terms, you are granted a limited, non-exclusive, non-transferable, revocable license to install and use an official copy of MATCHA for lawful writing, educational, and authorship-certification purposes.

MATCHA is designed to create evidence relating to authorship and work process. The application always records editing activity in both editor panes. Depending on the settings you choose for an independent project, or the settings configured by your instructor or institution for an instructor-led activity, MATCHA may also record your browsing activity within the application, including pages visited, click patterns, scroll patterns, and text typed in the built-in browser.

MATCHA project files contain detailed records of work performed in the application. Editing activity and any recorded browsing activity can be replayed in detail by anyone who is given the corresponding .mcha project file. In many educational uses, instructors or institutions will collect .mcha project files, including through automatic submission workflows.

By accepting this agreement and using MATCHA, you agree that MATCHA Technologies, instructors, institutions, and their service providers may collect, review, use, and analyze your work, project files, editing activity, recorded browsing activity, and related authorship evidence for plagiarism detection, authorship verification, enforcement of academic integrity rules, and research and development relating to plagiarism detection and academic integrity technology.

MATCHA Technologies may collect anonymized or aggregated information about your computer, device, and use of MATCHA, such as operating system version, application version, hardware and physical device characteristics, performance information, feature usage, and usage patterns. MATCHA Technologies may use this information to maintain, debug, secure, analyze, and improve MATCHA, MATCHA services, support, and related products.

MATCHA relies on dedicated server-side services and cannot fully function without them. These services include the MATCHA certification service, the MATCHA document export service, the MATCHA activity management service, the MATCHA support service, and MATCHA user account and licensing services. Your license to use MATCHA includes permission to connect to those services only through an official, unmodified copy of the MATCHA application.

MATCHA Technologies may require you to install and use a newer version of MATCHA where reasonably necessary to address security vulnerabilities, maintain compatibility with operating systems, devices, file formats, or MATCHA or third-party services, or preserve the safe and reliable operation of the application and MATCHA services. If an update is required, older versions may cease to function or access MATCHA services, and continued use of the application or MATCHA services may be conditioned on installing the required update. Nothing in this provision limits any mandatory rights you may have under applicable law.

MATCHA may include AI assistant features for writing, editing, support, troubleshooting, or related guidance. AI-generated responses and suggestions may be inaccurate, incomplete, outdated, biased, misleading, unsuitable for your circumstances, or otherwise inappropriate. You are responsible for reviewing AI output, verifying important information, and deciding whether any suggestion is appropriate for your work, your institution’s rules, and your situation. AI output is not a sole source of truth, a substitute for professional advice, or a final support, academic, legal, disciplinary, licensing, or policy determination.

You may not reverse engineer, decompile, disassemble, modify, circumvent technical restrictions in, or create unauthorized derivative works of MATCHA except to the extent such a restriction is prohibited by applicable law and cannot be disclaimed. You may not access, probe, automate against, imitate, or communicate with MATCHA server-side services by any means other than an official, unmodified copy of MATCHA.

Other than those we provide, you may not use artificial intelligence agents, bots, macros, scripts, remote-control tools, or any other form of automation to automate the entry of text, commands, clicks, keystrokes, or other inputs into MATCHA. You may not use MATCHA to misrepresent authorship, evade institutional rules, interfere with another user’s access to the service, or violate applicable law, academic rules, privacy obligations, or contractual restrictions. You are responsible for obtaining any required permissions or consents for your use of the app, including where browser activity recording or other evidence collection is enabled.

If you obtain a paid version of MATCHA or purchase a license, subscription, or related service tier, additional commercial, subscription, billing, renewal, support, or usage terms may apply. Those additional terms will be communicated at the time of purchase and will supplement this agreement.

MATCHA Technologies may suspend or terminate this agreement, your license to use the application, or your ability to access MATCHA services at any time if you violate this agreement, misuse the application or services, attempt unauthorized access to any MATCHA system or service, or if MATCHA Technologies reasonably determines that continued access creates legal, security, integrity, or operational risk. You may stop using MATCHA at any time. Upon termination, your license ends immediately and you must stop using the application and MATCHA services. The provisions of this agreement that by their nature should survive termination, including provisions concerning evidence collection, restrictions on use, disclaimers, limitations of liability, governing law, and severability, will survive termination.

The MATCHA software and services are provided on an as-is and as-available basis to the fullest extent permitted by law. MATCHA Technologies does not guarantee uninterrupted availability, error-free operation, or that any certification, replay, or project record will be accepted by an instructor, institution, employer, or other third party for any particular purpose.

To the fullest extent permitted by law, MATCHA Technologies disclaims implied warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. To the fullest extent permitted by law, MATCHA Technologies will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or similar damages, or for lost data, lost profits, lost opportunities, or educational or professional consequences arising from use of the application or services.

Without limiting the foregoing, and to the fullest extent permitted by law, MATCHA Technologies disclaims responsibility and liability for any academic accusation, academic offense charge, disciplinary process, academic penalty, grade consequence, suspension, expulsion, tuition loss, scholarship loss, employment consequence, financial harm, health consequence, emotional distress, or other direct or indirect consequence that may arise from or relate to a student’s use of MATCHA in connection with a course, assignment, examination, or academic program.

This agreement is governed by the laws of Ontario, Canada, and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. If you are a consumer, nothing in this agreement is intended to limit or exclude any mandatory rights or protections you may have under the laws of the jurisdiction in which you reside.

Subject to any mandatory rights you may have under applicable law, you and MATCHA Technologies agree that any dispute, claim, or proceeding arising out of or relating to this agreement, the application, or MATCHA services will be brought exclusively in the courts of Ontario, Canada, and each party attorns to the jurisdiction of those courts. If you are a consumer, nothing in this provision is intended to require arbitration, waive any right to participate in a class proceeding where such a waiver is prohibited, or limit any non-waivable right you may have to bring or defend a claim in another forum permitted by applicable law.

If any provision of this agreement is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions of this agreement will remain in full force and effect.

MATCHA Technologies may update this agreement from time to time. If the displayed EULA version changes, you may be required to review and accept the new version before continuing to use the application. By continuing past this screen, you acknowledge that you have reviewed and agreed to the version of this EULA presented here, including the uses of your work and authorship data described above.
